Trine Subscription Agreement

1. Parties and structure

1.1 This Subscription Agreement is between Purinode Ltd (company number 17395630), operator of the Trine platform ("we", "us") and the Provider identified in the account ("you").

1.2 It incorporates the Trine Terms and Conditions (the version accepted at the time of acceptance) and the Data Processing Agreement. Where there is a conflict on a commercial matter, this Subscription Agreement takes precedence.

1.3 The individual accepting this Agreement confirms they are authorised to enter into contracts on behalf of the Provider.

2. What you are subscribing to

2.1 A subscription is granted per care home. Each care home added to your organisation is a separately charged subscription.

2.2 Your subscription entitles you to access the Trine platform for the subscribed care homes, for the number of users permitted by your plan, for the duration of the term.

2.3 The plan, price, currency, billing frequency and any discount applied are those shown to you at the point of acceptance and recorded against your account. That price snapshot forms part of this Agreement.

3. Term and renewal

3.1 The term for each care-home subscription is one month, beginning on the date that subscription starts.

3.2 The subscription renews automatically for successive monthly periods unless cancelled in accordance with clause 6.

3.3 Adding a care home starts a separate subscription for that care home, charged from the date it is added. Billing dates for separate care homes may differ. We do not apply mid-cycle proration or credit unless we tell you otherwise at the point of confirmation.

4. Fees and payment

4.1 Fees are payable in advance for each billing period.

4.2 All fees are exclusive of VAT, which is applied at the rate in force at the tax point.

4.3 Payment is collected automatically from the payment method held on your account. We use Stripe as our payment processor. We do not receive or store full card details.

4.4 Where Bacs Direct Debit is offered and you select it, the applicable Direct Debit Guarantee and advance notice periods apply.

4.5 If a payment fails, we may retry collection. We will give at least 14 days' written notice before suspending access for non-payment.

4.6 Fees are non-refundable except where expressly stated in the Terms and Conditions or the Cancellation and Data Export Policy.

5. Price guarantee and price changes

5.1 The price recorded for a care-home subscription at the point of acceptance is guaranteed for 12 months from the date that subscription starts.

5.2 After the guarantee period, we may change the price on at least 60 days' written notice, taking effect at the next monthly renewal following the notice period.

5.3 If you do not wish to accept a price change, you may cancel the affected subscription before it takes effect. The existing price applies until then.

5.4 A price guarantee applies per care-home subscription, from that subscription's own start date.

6. Cancellation

6.1 Cancellation is currently handled by our support team. To cancel a care-home subscription, write to [email protected] from an email address registered to a provider administrator on the account.

6.2 We will acknowledge a cancellation request promptly and confirm the effective date in writing.

6.3 Cancellation takes effect at the end of the current billing period. Access continues until that date.

6.4 We do not provide refunds for part-periods on cancellation, except where we have materially breached the Agreement, where clause 7 of the Terms and Conditions applies, or where you terminate following a sub-processor objection under the Data Processing Agreement.

6.5 What happens to your data after cancellation is governed by the Cancellation and Data Export Policy.

7. Support and availability

7.1 Support is provided as described in the Terms and Conditions.

7.2 We do not offer a contractual availability or response-time commitment. Where a plan states specific service levels, those levels apply to that plan; where no service level is stated, none is given.

8. Users and access

8.1 You are responsible for the users you invite and the access levels you assign.

8.2 Candidates and other externally invited individuals who use a tokenised portal link are not counted as users.

8.3 If your plan sets a limit on staff records or care homes and you exceed it, we will contact you to move you to an appropriate plan. We will not restrict access without notice.

9. Acceptance and record

9.1 Acceptance of this Agreement is recorded electronically. The record includes the accepting user, the date and time, the document key and version, the plan and price accepted, and technical information about the acceptance.

9.2 We may publish new versions of this Agreement. A new version applies to your subscription from the date it takes effect following notice under clause 15 of the Terms and Conditions, or earlier if you accept it. Your existing accepted version remains in force until then.

9.3 Where a new version is required for continued paid use, we will give at least 30 days' notice and prompt an authorised user to re-accept. Existing subscriptions are not suspended during that period.

10. Governing law

10.1 This Agreement is governed by the law of England and Wales.
